1. Agreement

These terms are between you and [Legal entity name] (“Brtr”, “we”). By creating an account or using the app you accept them. If you do not accept them, do not use Brtr.

2. What Brtr is

Brtr is a platform that helps people near each other discover items and arrange to trade them in person. We are not a party to any trade. We do not own, inspect, store, insure, transport or guarantee any item listed on the service.

There is no money in Brtr. We do not process payments, hold funds, provide escrow, or offer refunds, because there is no transaction for us to sit in the middle of.

3. Eligibility and your account

You must be at least [16 / 18] to use Brtr. You must give accurate information, keep your account secure, and not let anyone else use it. You must verify a phone number before messaging other traders or making offers.

One person, one account. Creating additional accounts to evade a block, a suspension, or a poor rating is a breach of these terms.

4. Listings

You are responsible for everything you list. By creating a listing you confirm that:

You legally own the item and are entitled to trade it.
The photos are of the actual item, taken by you or with permission to use.
The description and condition are accurate and not misleading.
The item is not on the prohibited list in our community guidelines.

We may remove any listing, at any time, without notice, where we believe it breaches these terms.

5. Trades

A trade is an agreement between you and the other trader. You decide whether to accept an offer, whether to meet, and whether to hand over your item. Inspect before you swap — once a trade is completed, it is between the two of you.

We provide the tools to arrange and record a trade: structured offers, meet-up details, two-sided confirmation, and ratings. We do not verify that anyone will turn up, that an item matches its description, or that a trade is fair.

Add any jurisdiction-specific consumer-law carve-outs here. In many jurisdictions a platform cannot fully disclaim liability by contract, and your lawyer will need to scope this section accordingly.

6. Conduct

You agree not to:

List prohibited, illegal, counterfeit, stolen, or recalled items.
Ask for or offer money, cryptocurrency, gift cards, or any other payment in connection with a trade.
Harass, threaten, impersonate, or discriminate against other traders.
Scrape, reverse-engineer, or automate access to the service.
Use Brtr to advertise a business, a service, or anything other than a specific item you own.

7. Ratings and reputation

Ratings can only be left after a trade both parties have confirmed as completed. You may not offer anything in exchange for a rating, or threaten a rating to influence a trade. We may remove ratings that breach these terms, and we may suspend accounts that manipulate them.

8. Content licence

You keep ownership of your photos and text. You grant us a non-exclusive, worldwide, royalty-free licence to host, display, resize and distribute that content within the service for as long as it is listed, solely for the purpose of operating and promoting Brtr. Confirm with counsel whether you want promotional use included — if you intend to feature user listings in marketing, it must be stated explicitly.

9. Suspension and termination

We may suspend or terminate your account if you breach these terms, if we receive credible safety reports about you, or if we are legally required to. You can delete your account at any time from the app.

10. Disclaimers and liability

The service is provided “as is”. To the fullest extent permitted by law, we exclude implied warranties and are not liable for any loss arising from a trade, an item, a meet-up, or another user’s conduct.

Insert a liability cap and the specific exclusions your lawyer advises. This clause is the most jurisdiction-sensitive one in the document and must not be copied from another company’s terms.

11. Governing law

These terms are governed by the laws of [jurisdiction], and disputes are subject to the [exclusive / non-exclusive] jurisdiction of the courts of [location].

12. Changes

We may update these terms. Where a change is material we will notify you in the app before it takes effect. Continuing to use Brtr after that point means you accept the updated terms.
